3. Eligibility and Accounts

You must be at least 18 years old and authorized to bind any business you represent. You’re responsible for maintaining confidentiality of your account credentials and for all actions under your account.

4. Services and Modifications

We may enhance, modify, or discontinue parts of the Services at any time. We will attempt to give reasonable notice of material changes when practical. Beta or trial features are provided “as is.”

5. Fees and Billing

All pricing and payment terms are specified at purchase or in your order form.
You authorize Casper Flow and its payment processor, Stripe, to charge your chosen payment method for applicable fees, renewals, taxes, and add-ons.
Subscriptions renew automatically unless cancelled as stated in your plan.
No refunds are offered unless required by law or explicitly promised in writing.

6. Acceptable Use

You agree not to use the Services to:

Violate any law (including TCPA, CTIA, or CAN-SPAM).

Infringe intellectual property or privacy rights.

Transmit spam, unlawful content, malware, or deceptive messages.

Harvest or misuse data without consent.

Interfere with or degrade service integrity.

Casper Flow may monitor for abuse and suspend or terminate accounts that breach these Terms.

7. Your Content

You retain ownership of all content you upload (“User Content”). You grant Casper Flow a worldwide, non-exclusive, royalty-free license to host, copy, display, and process your content as needed to provide and improve the Services.
You confirm you have lawful rights to all content provided, including customer lists, logos, testimonials, and media.

8. Reviews, Case Studies, and Logos

By submitting testimonials, reviews, or results, you grant Casper Flow permission to display your name, logo, and feedback for marketing purposes.

9. Third-Party Services

The Services may integrate with Google, Facebook, Instagram, Stripe, or other third-party tools. Your use of those platforms is subject to their terms. Casper Flow is not responsible for third-party actions or service availability.

10. Compliance

You are solely responsible for ensuring that your use of the Services complies with all laws applicable to your business, including:

Telephone Consumer Protection Act (TCPA)

CTIA Messaging Principles and Best Practices

CAN-SPAM Act

Data protection and privacy laws (CCPA, GDPR, etc.)

11. SMS and MMS Program Terms (A2P 10DLC Compliance)

Purpose: Notifications, reminders, and marketing messages for customers who opt in.

a. Opt-In & Consent
By submitting your phone number on our website, texting a keyword, or otherwise opting in, you consent to receive recurring SMS/MMS messages from Casper Flow Ltd. Consent is not a condition of purchase.

15. Availability and Data Backup

Casper Flow aims for high uptime but does not guarantee uninterrupted service. You’re responsible for backing up your content and configuration data.

The Services are provided “as is.” Casper Flow disclaims all implied warranties, including merchantability and fitness for a particular purpose. We do not guarantee sales volume, search rankings, or business results.

17. Limitation of Liability

To the maximum extent permitted by law, Casper Flow Ltd shall not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill.
Total liability shall not exceed the fees paid to Casper Flow in the 3 months preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify and hold Casper Flow, its officers, and employees harmless from any claims, damages, or losses arising from your use of the Services, content, or violation of these Terms or applicable laws.

19. Term and Termination

These Terms remain effective while you use the Services. Casper Flow may suspend or terminate your access for breach, abuse, or non-payment. Upon termination, you must cease using all materials, but sections meant to survive will remain in effect.

20. Changes to Terms

We may revise these Terms from time to time. Updated versions will be posted on our website with the revision date. Continued use of the Services constitutes acceptance of the new Terms.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.

Disputes shall be resolved through binding arbitration in New Castle County, Delaware, under the American Arbitration Association’s Commercial Arbitration Rules.
You waive class actions and agree to resolve disputes individually.
Either party may seek injunctive relief for intellectual property or confidentiality breaches.

22. Export and Sanctions

You agree to comply with all applicable export control and sanctions laws and represent that you are not on any restricted or denied party lists.

23. Force Majeure

Casper Flow shall not be liable for delays or failures due to events beyond reasonable control, including outages, natural disasters, labor disputes, or government restrictions.

24. Entire Agreement

These Terms, along with your order form and our Privacy Policy, form the entire agreement between you and Casper Flow Ltd.
If any provision is held invalid, the remainder remains enforceable. No waiver is continuing unless stated in writing.
You may not assign these Terms without our consent.

25. Notices

We may communicate via email, in-app notices, or SMS. Such communications satisfy any legal notice requirement.
